Algemene voorwaarden en klanteninformatie
I. Algemene voorwaarden
§ 1 Basisvoorzieningen
(1) De onderstaande voorwaarden gelden voor alle contracten, die u met ons als aanbieder (Karteo GmbH) via de website www.karteo.com aangaat. Tenzij anders overeengekomen, wordt indien nodig de integratie van de door u gebruikte eigen voorwaarden tegengesproken.
(2) Een verbruiker is elke natuurlijke persoon met het oog op een rechtshandeling, die hoofdzakelijk niet gerekend kunnen worden tot hun bedrijfs- of zelfstandige beroepswerkzaamheid. Een ondernemer is elke natuurlijke of rechtspersoon of een juridisch partnerschap, die bij het sluiten van een rechtshandeling handelt in naam van hun onafhankelijke professionele of commerciële activiteit.
§ 2 Totstandkomen van contract
(1) Onderwerp van het contract is de verkoop van goederen.
(2) Reeds bij het instellen van het betreffende product op onze internetsite leggen wij u een bindende offerte voor voor het afsluiten van een koopcontract onder de in de artikelbeschrijving aangegeven voorwaarden.
(3) De koopovereenkomst komt als volgt tot stand via het online-winkelmandjessysteem:
De goederen die voor de koop zijn bestemd worden in het „winkelmandje" gelegd. Via de betreffende toetsen in de navigatielijst kunt u het „winkelmandje“ oproepen en daar te allen tijde wijzigingen aanbrengen.
Na het oproepen van de pagina "kassa" en de invoer van de persoonlijke gegevens alsook de betalings- en verzendvoorwaarden worden afsluitend de bestelgegevens nogmaals op de besteloverzichtspagina getoond.
Voor zover u als betaalmethode een methode voor directe betaling (bijv. PayPal / PayPal Express, Amazon-Payments, directe overschrijving) gebruikt, wordt u of in onze online-shop naar het besteloverzicht geleid of wordt u eerst naar de internetsite van de aanbieder van de methode voor directe betaling doorgeleid.
Wanneer u wordt doorgeleid naar de betreffende methode voor directe betaling, voer daar dan de betreffende selectie resp. invoer van uw gegevens uit. Tot slot wordt u teruggeleid naar het besteloverzicht in onze online-shop.
Voor het indienen van de bestelling krijgt u hier de gelegenheid om alle gegevens opnieuw te controleren, te wijzigen (ook via de functie "vorige" van uw internetbrowser) of de aankoop te annuleren. Met het verzenden van de bestelling via de toets "bestellen met verplichte betaling" verklaart u de juridisch bindende aanvaarding van het aanbod, waardoor de koopovereenkomst tot stand komt.
(4) Uw aanvragen voor het opstellen van een aanbieding is voor u niet bindend. We leggen u schriftelijk een bindend aanbod voor (bv. via e-mail) dat u kunt accepteren binnen 5 dagen.
(5) De afhandeling van de bestelling en verzending van alle nodige informatie in verband met de contractsluiting gebeurt via e-mail gedeeltelijk automatisch. Daarvoor dient u er zeker van te zijn dat het bij ons bekende emailadres correct is en dat u de door ons verzonden e-mail ook gegarandeerd ontvangt en vooral niet door de spamfilter wordt verhinderd.
§ 3 Individueel gemaakte goederen
(1) U stelt ons de voor de individuele vormgeving van de goederen benodigde juiste informatie, teksten of bestanden via het online-bestelsysteem of per e-mail uiterlijk onmiddellijk na het afsluiten van de overeenkomst ter beschikking. Eventuele richtlijnen van de aanbieder voor bestandsformaten moeten worden opgevolgd.
(2) De klant is verplicht geen gegevens over te brengen, waarvan de inhoud rechten van derden (vooral auteursrechten, naamrechten, merkrechten) schendt of in strijd is met bepaalde wetten. De klant stelt de aanbieder uitdrukkelijk vrij van alle in deze context geldig gemaakt aanspraken van derden. Dat geldt ook voor de kosten van de in dit verband vereiste gerechtelijke vertegenwoordiging.
(3) De aanbieder doet geen onderzoek van de toegezonden gegevens op juistheid van gegevens en aanvaardt geen aansprakelijkheid voor eventuele fouten.
(4) Voor zover in de betreffende offerte is aangegeven, krijgt u door ons een voorbeeld ter correctie toegezonden, dat onmiddellijk door u moet worden gecontroleerd. Is de klant het eens met het voorstel, dan voert hij de juiste template door schriftelijke medeondertekening (bijvoorbeeld e-mail) vrij voor uitvoering.
Een uitvoering van de werkzaamheden zonder toestemming van de klant vindt niet plaats.
De klant is ervoor verantwoordelijk de sjablonen op correctheid en volledigheid te controleren en de aanbieder eventuele fouten mee te delen. De aanbieder is niet aansprakelijk voor niet gereclameerde fouten.
§ 4 Retentierecht, eigendomsvoorbehoud
(1) U kunt retentierecht enkel uitoefenen in zoverre het gaat om vorderingen uit dezelfde contractuele relatie.
(2) Het product blijft tot volledige betaling van de koopprijs onze eigendom.
(3) Bent u ondernemer, dan geldt het volgende:
a) Wij houden het eigendom va het product tot de volledige vergoeding van de vorderingen uit de lopende zakenrelatie. Voorafgaand aan de overdracht van de eigendom van de goederen is een onderpand of een zogenaamde 'Sicherheitsübereignung' (beveiligheidsdoeleind) niet toegestaan.
b) U kunt de goederen volgens de normale gang van zaken doorverkopen. In dat geval moet u nu al alle vorderingen van het gefactureerde bedrag, dat zal voortvloeien uit de doorverkoop, aan ons afstaan, voor zover we de overdracht accepteren. U bent verder bevoegd voor de inning van de schuld. Wanneer u uw betalingsverplichtingen niet goed nakomt, behouden wij ons het recht voor de schuld zelf te innen.
c) Bij het verbinden en mengen van de goederen verwerven wij mede-eigendom van de nieuwe zaak in verhouding van factuurwaarde van de goederen tot de andere verwerkte goederen op het moment van de verwerking.
d) Wij verbinden ons ertoe om de aan ons verschuldigde effecten op uw verzoek vrij te geven in de mate dat de realiseerbare waarde van onze zekerheden met meer dan 10% groter is dan de beveiligde vorderingen. De keuze van de effecten die worden vrijgegeven ligt bij ons.
§ 5 Garantie
(1) Er bestaan wettelijke garantierechten.
(2) Als consument, wordt u gevaagd om de goederen direct na levering op volledigheid, zichtbare gebreken en schade te controleren en zowel ons als de transporteur zo snel mogelijk eventuele klachten mee te delen. Indien u dit niet doet, heeft dit geen invloed op uw wettelijke aanspraak op garantie.
(3) Voor zover u een ondernemer bent, gelden afwijkende garantiebepalingen:
a) Als kwaliteit van de goederen gelden enkel onze eigen gegevens en de productbeschrijving van de producent zoals overeengekomen, niet andere reclame, openbare prijzen en uitspraken van de producent.
b) In geval van gebreken geven wij naar eigen goeddunken garantie door het herstellen van gebreken of door nalevering. Mislukt het verhelpen van het tekort, dan kunt u na uw keuze vermindering eisen of afzien van de overeenkomst. De corrigerende maatregelen zijn van toepassing na een mislukte tweede poging, indien er blijkt dat vooral uit de soort van de zaak of het tekort of de andere omstandigheden niet iets anders oplevert. In het geval van verbetering moeten wij de verhoogde kosten niet dragen die ontstaan zijn door het verzenden van de goederen naar een andere plaats dan de plaats van uitvoering, op voorwaarde dat de zending niet aan het beoogde gebruik van de goederen voldoet.
c) De garantieperiode bedraagt een jaar vanaf de datum van levering. De verkorte termijn is niet van toepassing:
- voor ons te verantwoorden verwijtbare schade voortvloeiend uit schade aan het leven, het lichaam of de gezondheid en bij opzettelijk of door grove nalatigheid veroorzaakte overige schade;
- voor zover wij het gebrek op frauduleuze wijze verborgen hebben gehouden of een garantie voor de hoedanigheid van de zaak hebben gegeven;
- bij zaken, die overeenkomstig hun normale gebruik voor een gebouw zijn gebruikt en die het defect hebben veroorzaakt;
- bij wettelijke regresvorderingen, die u in combinatie met garantierechten tegen ons heeft.
§ 6 Rechtskeuze, plaats van betaling, bevoegde rechtbank
(1) Het Duitse recht is van toepassing. Voor consumenten geldt deze keuze van het recht alleen, voor zover dit betekent de bescherming door dwingende bepalingen van de wet van het land van de gewone verblijfplaats van de consument niet wordt ingetrokken (gunstigheidsbeginsel).
(2) Plaats van uitvoering voor alle prestaties uit de met ons bestaande zakenrelaties zoals de bevoegde rechtbank is onze verblijfplaats, in zoverre u geen consument, maar koopman, rechtspersoon van het openbaar recht of van publiekrechtelijk speciaal vermogen bent. Hetzelfde geldt als u geen algemene bevoegdheid in Oostenrijk of de EU hebt, of als uw woonplaats of uw gewoonlijke verblijfplaats op het moment van de klacht niet gekend is. De bevoegdheid, ook de rechtbank in een andere gerechtsgebied aan te roepen, blijft hiervan onberoerd.
(3) De bepalingen van het VS-kooprecht zijn uitdrukkelijk niet van toepassing.

2. Informatie over het tot stand komen van het contract
De technische stappen die verband houden met het sluiten van een contract, het sluiten van een contract zelf en de correctieopties worden uitgevoerd in overeenstemming met het reglement “het sluiten van een contract” in onze standaard zakelijke voorwaarden (deel I.).
3. Taal van het contract, opslaan van de tekst van het contract
3.1 De taal van het contract is Duits.
3.2 De volledige tekst van het contract wordt niet door ons opgeslagen. Voor het verzenden van de bestelling via het online winkelwagensysteem kunnen de contractgegevens via de afdrukfunctie van het browser geprint worden of elektronisch opgeslagen worden. Na ontvangst van de bestelling bij ons, worden de bestelgegevens, de door de wet vereiste informatie voor overeenkomsten op afstand en de algemene voorwaarden nog eens via e-mail naar u verzonden.
3.3 Bij aanvragen buiten het online-winkelwagensysteem krijgt u alle overeenkomstgegevens in het kader van een bindende offerte schriftelijk, bijv. per e-mail, toegezonden, welke u uit kunt printen of elektronisch op kunt slaan.
4. Essentiële kenmerken van de goederen of de dienst
De essentiële kenmerken/voorwaarden van de goederen en/of diensten kunt u vinden in de betreffende offerte.
5. Prijzen en betalingsmogelijkheden
5.1 De in de respectieve aanbiedingen getoonde prijzen en verzendkosten vertegenwoordigen de totale prijs. Ze omvatten alle prijscomponenten, inclusief alle toepasselijke belastingen.
5.2 De verzendkosten zijn niet inbegrepen in de aankoopprijs. Ze zijn via een bijbehorende knop op onze internetsite of in de betreffende offerte oproepbaar, worden in de loop van het bestelproces afzonderlijk vermeld en komen extra voor uw rekening, voor zover de levering niet vrij van verzendkosten is toegezegd.
5.3 Eventuele kosten voor het overmaken van geld zijn voor uw rekening, ook als de goederen aan een EU-lidstaat worden geleverd, maar de betaling is buiten de Europese Unie geregeld.
5.4 De ter beschikking staande betalingsmethoden staan onder een dienovereenkomstig aangeduide knop op onze internetsite of in de betreffende offerte vermeld.
5.5 Tenzij anders vermeld, zijn de vorderingen van het voltooide contract onmiddellijk opeisbaar.
6. Leveringsvoorwaarden
6.1 De leveringsvoorwaarden, de leveringstermijn en eventueel bestaande leveringsbeperkingen vindt u onder een dienovereenkomstig aangeduide knop op onze internetsite of in de betreffende offerte.
6.2 Voor zover u consument bent, is het wettelijk geregeld dat het risico van onopzettelijk verlies en de toevallige verslechtering van de verkochte goederen tijdens de verzending pas met de levering van de goederen op u overgaat, onafhankelijk of de zending verzekerd of onverzekerd is. Dit geldt niet als u zelf een niet door ons aangeduid transportbedrijf of een andere persoon de opdracht gegevens hebt de levering uit te voeren.
Bent u ondernemer, dan gebeurt de levering en de verzending op uw risico.
7. Wettelijke garantierechten
De aansprakelijkheid voor gebreken wordt gebaseerd op de regeling "Garantie" in onze algemene voorwaarden (deel I).
Deze voorwaarden en klanteninformatie zijn gemaakt door juristen van de Händlerbund gespecialiseerd in het IT-recht en worden permanent gecontroleerd op naleving van de wet. De Händlerbund Management AG staat garant voor de rechtszekerheid van de teksten en is aansprakelijk in het geval van gerechtelijke procedures. § 3 Individueel gemaakte goederen

(3) De aanbieder doet geen onderzoek van de toegezonden gegevens op juistheid van gegevens en aanvaardt geen aansprakelijkheid voor eventuele fouten.
(4) Voor zover in de betreffende offerte is aangegeven, krijgt u door ons een voorbeeld ter correctie toegezonden, dat onmiddellijk door u moet worden gecontroleerd. Is de klant het eens met het voorstel, dan voert hij de juiste template door schriftelijke medeondertekening (bijvoorbeeld e-mail) vrij voor uitvoering.
Een uitvoering van de werkzaamheden zonder toestemming van de klant vindt niet plaats.
De klant is ervoor verantwoordelijk de sjablonen op correctheid en volledigheid te controleren en de aanbieder eventuele fouten mee te delen. De aanbieder is niet aansprakelijk voor niet gereclameerde fouten.
§ 4 Retentierecht, eigendomsvoorbehoud
(1) U kunt retentierecht enkel uitoefenen in zoverre het gaat om vorderingen uit dezelfde contractuele relatie.
(2) Het product blijft tot volledige betaling van de koopprijs onze eigendom.
(3) Bent u ondernemer, dan geldt het volgende:
a) Wij houden het eigendom va het product tot de volledige vergoeding van de vorderingen uit de lopende zakenrelatie. Voorafgaand aan de overdracht van de eigendom van de goederen is een onderpand of een zogenaamde 'Sicherheitsübereignung' (beveiligheidsdoeleind) niet toegestaan.
b) U kunt de goederen volgens de normale gang van zaken doorverkopen. In dat geval moet u nu al alle vorderingen van het gefactureerde bedrag, dat zal voortvloeien uit de doorverkoop, aan ons afstaan, voor zover we de overdracht accepteren. U bent verder bevoegd voor de inning van de schuld. Wanneer u uw betalingsverplichtingen niet goed nakomt, behouden wij ons het recht voor de schuld zelf te innen.
c) Bij het verbinden en mengen van de goederen verwerven wij mede-eigendom van de nieuwe zaak in verhouding van factuurwaarde van de goederen tot de andere verwerkte goederen op het moment van de verwerking.
d) Wij verbinden ons ertoe om de aan ons verschuldigde effecten op uw verzoek vrij te geven in de mate dat de realiseerbare waarde van onze zekerheden met meer dan 10% groter is dan de beveiligde vorderingen. De keuze van de effecten die worden vrijgegeven ligt bij ons.
§ 5 Garantie
(1) Er bestaan wettelijke garantierechten.
(2) Als consument, wordt u gevaagd om de goederen direct na levering op volledigheid, zichtbare gebreken en schade te controleren en zowel ons als de transporteur zo snel mogelijk eventuele klachten mee te delen. Indien u dit niet doet, heeft dit geen invloed op uw wettelijke aanspraak op garantie.
(3) Voor zover u een ondernemer bent, gelden afwijkende garantiebepalingen:
a) Als kwaliteit van de goederen gelden enkel onze eigen gegevens en de productbeschrijving van de producent zoals overeengekomen, niet andere reclame, openbare prijzen en uitspraken van de producent.
b) In geval van gebreken geven wij naar eigen goeddunken garantie door het herstellen van gebreken of door nalevering. Mislukt het verhelpen van het tekort, dan kunt u na uw keuze vermindering eisen of afzien van de overeenkomst. De corrigerende maatregelen zijn van toepassing na een mislukte tweede poging, indien er blijkt dat vooral uit de soort van de zaak of het tekort of de andere omstandigheden niet iets anders oplevert. In het geval van verbetering moeten wij de verhoogde kosten niet dragen die ontstaan zijn door het verzenden van de goederen naar een andere plaats dan de plaats van uitvoering, op voorwaarde dat de zending niet aan het beoogde gebruik van de goederen voldoet.
c) De garantieperiode bedraagt een jaar vanaf de datum van levering. De verkorte termijn is niet van toepassing:
- voor ons te verantwoorden verwijtbare schade voortvloeiend uit schade aan het leven, het lichaam of de gezondheid en bij opzettelijk of door grove nalatigheid veroorzaakte overige schade;
- voor zover wij het gebrek op frauduleuze wijze verborgen hebben gehouden of een garantie voor de hoedanigheid van de zaak hebben gegeven;
- bij zaken, die overeenkomstig hun normale gebruik voor een gebouw zijn gebruikt en die het defect hebben veroorzaakt;
- bij wettelijke regresvorderingen, die u in combinatie met garantierechten tegen ons heeft.
§ 6 Rechtskeuze, plaats van betaling, bevoegde rechtbank
(1) Het Duitse recht is van toepassing. Voor consumenten geldt deze keuze van het recht alleen, voor zover dit betekent de bescherming door dwingende bepalingen van de wet van het land van de gewone verblijfplaats van de consument niet wordt ingetrokken (gunstigheidsbeginsel).
(2) Plaats van uitvoering voor alle prestaties uit de met ons bestaande zakenrelaties zoals de bevoegde rechtbank is onze verblijfplaats, in zoverre u geen consument, maar koopman, rechtspersoon van het openbaar recht of van publiekrechtelijk speciaal vermogen bent. Hetzelfde geldt als u geen algemene bevoegdheid in Oostenrijk of de EU hebt, of als uw woonplaats of uw gewoonlijke verblijfplaats op het moment van de klacht niet gekend is. De bevoegdheid, ook de rechtbank in een andere gerechtsgebied aan te roepen, blijft hiervan onberoerd.
(3) De bepalingen van het VS-kooprecht zijn uitdrukkelijk niet van toepassing.

2. Informatie over het tot stand komen van het contract

Na ontvangst van de bestelling bij ons, worden de bestelgegevens, de door de wet vereiste informatie voor overeenkomsten op afstand en de algemene voorwaarden nog eens via e-mail naar u verzonden.
3.3 Bij aanvragen buiten het online-winkelwagensysteem krijgt u alle overeenkomstgegevens in het kader van een bindende offerte schriftelijk, bijv. per e-mail, toegezonden, welke u uit kunt printen of elektronisch op kunt slaan.
4. Essentiële kenmerken van de goederen of de dienst
De essentiële kenmerken/voorwaarden van de goederen en/of diensten kunt u vinden in de betreffende offerte.
5. Prijzen en betalingsmogelijkheden
5.1 De in de respectieve aanbiedingen getoonde prijzen en verzendkosten vertegenwoordigen de totale prijs. Ze omvatten alle prijscomponenten, inclusief alle toepasselijke belastingen.

(1) The following business terms are applicable to all the contracts, which you conclude with us as a supplier (Karteo GmbH) via the www.karteo.com website. Unless otherwise agreed upon, the inclusion, if necessary, of your own conditions is ruled out.
(2) A ‘consumer’ in the sense of the following regulations is every natural person who concludes a legal transaction which, to an overwhelming extent, cannot be attributed to either his commercial or independent professional activities. The term ‘businessman’ refers to every natural person, legal person or legally responsible partnership that concludes a legal transaction in pursuance of his/its independent professional or commercial activity.
§ 2 Conclusion of the contract
(1) The subject-matter of the contract is the selling of products .
(2) On placing the product in question on our website, we provide you with a binding offer to conclude a sales agreement subject to the conditions specified in the item description.
(3) The purchase agreement takes place via the online shopping cart system as follows:

§ 3 Individually-designed products
(1) You provide us with the appropriate information, text or data necessary to customise the goods via the online ordering system or via E-mail without undue delay after concluding the contract. Any potential specifications that we may issue regarding file formats are to be borne in mind.
(2) You are obligated to ensure that you do not transfer data whose contents violate the rights of external parties (especially copyrights, rights to names and trademark rights) or break existing laws. You explicitly free us from any and all claims related to this matter that may be raised by external parties. This also applies to the costs associated with any legal representation that may become necessary in this regard.
(3) We do not check the transferred data for textual accuracy. In this respect, we assume no liability for errors.
(4) Insofar as is specified in the quote, we will send you a revised submission which must be checked by you without delay. If you approve of the design, you are to approve the correction template for execution through a counter-signature in text format (e.g. e-mail).

You are responsible for checking the correction template for accuracy and completeness and bringing any potential errors to our attention. We assume no liability for unqueried errors.
§ 4 Right of retention, reservation of proprietary rights
(1) You can only exercise a right of retention if the situation in question involves claims arising from the same contractual relationship.
(2) The goods remain our property until the purchase price is paid in full.
(3) If you are a businessman, the following conditions also apply:
a) We retain ownership of the goods until all the claims arising from the ongoing business relationship have been settled in full. The goods subject to retention of title may not be pledged or transferred by way of security before ownership of the said goods changes hands.
b) You can re-sell the goods within the framework of an orderly transaction. In this regard, you hereby cede all the claims amounting to the magnitude of the billing amount that accrue to you as a result of the re-selling operation to us, and we accept the cession. Furthermore, you are authorised to collect the claim in question. However, insofar as you do not discharge your payment obligations in an orderly fashion, we reserve the right to collect the claim ourselves.
c) In a situation involving the combination and amalgamation of the goods subject to retention of title, we acquire co-ownership of the newly-formed item. This co-ownership corresponds to the ratio that exists between the invoice value of the goods subject to retention of title and the other processed items at the time of processing.
d) If you make a request of this nature, we shall be obligated to release the securities that are due to us, to the extent that the realisable value of our securities exceeds the claim to be secured by more than 10%. We are responsible for selecting the securities to be released.
§ 5 Warranty
(1) The statutory warranty rights are applicable.
(2) As a consumer, you are requested to promptly check the product for completeness, visible defects and transport damage as soon as it is delivered, and promptly disclose your complaints to us and the shipping company in writing. Even if you do not comply with this request, it shall have no effect on your legal warranty claims.
(3) Insofar as you are a business, the following difference applies to the aforementioned warranty regulations:
a) It is understood that the details provided by us and the product description provided by the manufacturer are the only things that represent the properties and condition of the product in question. Other advertisements, blurbs and statements issued by the manufacturer are not considered to be representative of the properties and condition of the said product.
b) If the goods are found to be faulty, we shall reserve the right to repair the goods or deliver replacements. If the defect is not removed, you can demand a reduction in the price or withdraw from the contract at your discretion. The defect removal is applicable after a failed second attempt, unless the circumstances prove otherwise, in particular due to the nature of the object and/or defect or other conditions. In case of repair, we must not bear the additional costs, which arise from the transfer of the item to a place other than the place of fulfilment, as far as the transfer does not correspond to the intended use of the item.
c) The warranty period amounts to a period of one year after delivery of the product. The reduction in time-limit does not apply:
- to damages culpably attributable to us arising from injury to life, limb or health and for other damages caused by wilful intent or gross negligence;
- insofar as we have wilfully concealed the defect or accepted a warranty for the quality of the goods;
- to goods which are used for a building in accordance with their normal use instructions and whose defects were caused by this;
- for statutory recourse claims, which you have against us in connection with warranty rights.
§ 6 Choice of law, place of fulfilment, jurisdiction
(1) German law shall apply. This choice of law only applies to customers if it does not result in the revocation of the protection guaranteed by the mandatory provisions of the law of the country in which the respective customer’s usual place of residence is located (benefit-of-the-doubt principle).
(2) If you are not a consumer, but a businessman, a legal entity under public law or an institutional fund governed by public law, our place of business is the place of jurisdiction as well as the place of fulfilment for all services that follow from the business relationships that exist with us. The same condition applies to situations in which you are not associated with a general place of jurisdiction in Germany or the EU, as well as situations in which the place of residence or the usual place of residence is not known at the time of commencement of proceedings. This has no bearing on the capacity to call upon the court associated with another place of jurisdiction.
(3) The provisions of the UN Convention on Contracts for the International Sale of Goods are explicitly inapplicable.
